WayMark Terms of Service

These Terms of Service ("Terms") govern your access to and use of the WayMark application, including any integration with QuickBooks Online ("QBO") and related services (collectively, the "Service") provided by WayMark, LLC ("WayMark," "we," "us," or "our"). By accessing or using the Service, you ("Customer" or "you") agree to these Terms. If you do not agree, do not use the Service.

1. The Service

WayMark provides operations automation software and services for painting contractors. The Service connects to QuickBooks Online and other business tools (such as PaintScout, Airtable, HubSpot, and similar platforms) to read your business data, write data back to those systems on your behalf, sync data between systems, and support job costing and financial analysis workflows.

Note: The Service is for business use only. It is not intended for consumers or personal/household use.

2. Eligibility and Accounts

To use the Service, you must:

  • Be at least 18 years old and authorized to bind your business to these Terms.
  • Maintain valid, active accounts on the third-party platforms you connect (including QuickBooks Online).
  • Provide accurate registration information and keep it current.

You are responsible for all activity that occurs under your account and for safeguarding any credentials, API keys, or authorization tokens associated with your use of the Service.

3. Third-Party Services and QuickBooks Online

The Service integrates with QuickBooks Online and other third-party services. Your use of those services is governed by your agreements with each respective provider. Specifically:

  • Your use of QuickBooks Online is subject to Intuit's Terms of Service and Privacy Statement.
  • WayMark accesses your QBO data only after you expressly authorize the connection via Intuit's OAuth flow.
  • You may revoke WayMark's access to your QBO account at any time through your Intuit account settings.
  • WayMark is not affiliated with, endorsed by, or sponsored by Intuit Inc.

WayMark is not responsible for the availability, accuracy, content, or practices of third-party services, and you assume all risk associated with your use of them.

4. Customer Data and Ownership

"Customer Data" means any data, content, or information you provide to the Service, or that the Service accesses on your behalf from third-party platforms (including financial records, customer lists, invoices, transactions, and similar information from QBO).

  • You own your Customer Data. WayMark claims no ownership over it.
  • You grant WayMark a limited, non-exclusive license to access, process, transmit, and use Customer Data solely to provide and improve the Service for you.
  • WayMark will not sell or rent Customer Data, will not use it for advertising, and will not use it to train general-purpose machine learning models.

5. How Data Flows

WayMark's QBO integration is designed as a pass-through service: data accessed from QBO is delivered to your designated destination systems (such as your own Airtable base, dashboard, or other connected tools) at your direction. WayMark does not maintain a long-term independent copy of your QBO data for its own purposes. Transient processing (caches, queues, and logs necessary to deliver the Service) may occur and is described in our Privacy Policy.

6. Acceptable Use

You agree not to:

  • Use the Service in violation of any law, regulation, or third-party right.
  • Use the Service to access, store, or transmit malicious code or content.
  • Reverse engineer, decompile, or attempt to derive the source code of the Service, except as permitted by law.
  • Resell, sublicense, or distribute the Service without our written consent.
  • Use the Service to violate Intuit's developer policies, API terms, or the QBO terms of service.
  • Attempt to gain unauthorized access to other customers' data or to WayMark systems.
  • Interfere with or disrupt the integrity or performance of the Service.

7. Fees and Payment

If the Service is offered to you on a paid basis, you agree to pay all fees described in your order form or subscription page. Fees are non-refundable except as expressly stated or required by law. We may change pricing with reasonable advance notice; changes will not apply to your current paid term.

8. Confidentiality

Each party agrees to protect the other's confidential information using at least the same care it uses to protect its own confidential information of similar importance, and in no event less than a reasonable standard of care. Customer Data is treated as your confidential information.

9. Security

WayMark implements commercially reasonable administrative, technical, and physical safeguards designed to protect Customer Data, including encryption in transit (TLS), encrypted storage where applicable, access controls, and credential isolation. No system is perfectly secure; you acknowledge that transmission over the internet involves inherent risk.

You are responsible for protecting your own credentials and promptly notifying us of any suspected compromise.

10. Service Availability

We work to keep the Service available, but we do not guarantee uninterrupted availability. The Service may be unavailable due to scheduled maintenance, third-party outages (including Intuit's APIs), or events outside our reasonable control.

11. Intellectual Property

WayMark and its licensors own all right, title, and interest in and to the Service, including all software, designs, trademarks, and documentation. Subject to these Terms, WayMark grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business operations during your subscription term.

12. Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant WayMark a perpetual, royalty-free license to use that feedback without restriction or obligation to you.

13. Termination

Either party may terminate these Terms:

  • For convenience, by disconnecting WayMark from your QBO account and ceasing use of the Service. Paid subscriptions terminate at the end of the then-current paid term unless otherwise stated.
  • For cause, if the other party materially breaches these Terms and fails to cure within 30 days of written notice.

Upon termination, WayMark will stop accessing your QBO and connected accounts. We will delete or return Customer Data we hold in accordance with our Privacy Policy and applicable law, except as required to be retained for legal, audit, or backup purposes.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAYMARK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

Important: WayMark is not a CPA firm, accounting firm, tax advisor, or financial advisor. Any reports, analyses, or recommendations generated by the Service are informational only and are not a substitute for professional advice. You are responsible for the accuracy of your books and for any financial, tax, or accounting decisions you make.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOST DATA, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.

WAYMARK'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO WAYMARK FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

16. Indemnification

You agree to defend, indemnify, and hold harmless WayMark from any third-party claims arising out of (a) your Customer Data, (b) your use of the Service in violation of these Terms, or (c) your violation of any law or third-party right.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Kansas, without regard to its conflict of laws principles. The state and federal courts located in Johnson County, Kansas will have exclusive jurisdiction over any dispute arising out of these Terms, and each party consents to that jurisdiction and venue.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable advance notice (for example, by email or in-app notice). Continued use of the Service after the effective date of the updated Terms constitutes acceptance.

19. Miscellaneous

These Terms are the entire agreement between you and WayMark regarding the Service and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions will remain in effect. Neither party may assign these Terms without the other's consent, except that WayMark may assign in connection with a merger, acquisition, or sale of all or substantially all of its assets.
